Flogal Apps Terms of Use
Version 1.0 · Effective 2026-10-15
1. Scope
These Terms govern your use of Flogal Apps, meaning the web application at apps.flogalhq.com, the Flogal Apps mobile application, and related services (the "Platform"). The Platform is an internal operations platform provided by Flogal Holdings LLC, an Oklahoma limited liability company ("Flogal," "we," "us"). By using the Platform you agree to these Terms.
These Terms are not an employment agreement, an independent-contractor agreement, an equipment lease, a transportation or hauling contract, or a privacy policy. Those relationships are governed by their own documents. If these Terms conflict with a written agreement between you (or your organization) and a Flogal company on the same subject, that agreement controls for that subject.
2. Authorized organizations
The Platform is made available to (a) Flogal companies, (b) companies affiliated with Flogal, and (c) other organizations that have authorized Flogal in writing to provide technology, implementation, evaluation, or administrative services (each an "Authorized Organization").
Use of the Platform by an organization does not, by itself, create or imply ownership, affiliation, acquisition, partnership, joint venture, agency, common control, or merger between that organization and any Flogal company. Each Authorized Organization remains a separate business responsible for its own operations, personnel, and legal obligations.
3. Authorized users
You may use the Platform only if an Authorized Organization has designated you as a user and only in connection with your work for that organization. Your organization determines your role and what you may access. If your relationship with that organization ends, your authorization ends.
4. Individual accounts
Each account is for one person. Do not share your account, use anyone else's, or let anyone act through yours. You are responsible for activity under your account until you report a problem to your administrator or to us.
5. Credentials
Keep your login credentials confidential. Use the authentication methods the Platform requires. Tell your administrator or us immediately if you believe your credentials have been lost, stolen, or used by someone else.
6. Roles and organization boundaries
Your access is limited to the records and functions your role and organization require. Do not attempt to view, change, export, or use information belonging to another organization or outside your role, even if a system error makes it visible. Report it instead.
7. Acceptable use
Use the Platform only for its intended business purposes. Do not: interfere with or disrupt the Platform; probe, scan, or test its security without written authorization; introduce malicious code; circumvent access controls; scrape or bulk-extract data outside provided export functions; use the Platform to violate any law or the rights of others; or use it in any way that could expose Flogal or an Authorized Organization to liability.
8. Accurate business records
Information you enter (tickets, loads, tonnage, hours, inspections, maintenance entries, receipts, and all other records) becomes a business record relied on for pay, billing, safety, maintenance, tax, and regulatory purposes. Enter it accurately, completely, and promptly.
9. No falsification
Do not enter, alter, backdate, or delete records to misrepresent what happened. Do not upload altered images or documents. Falsification may result in loss of access and may violate law and your organization's policies.
10. Safe use
Do not interact with the Platform in any way that distracts you while operating a vehicle or equipment. If a function requires you to look at or touch a screen, stop in a safe and lawful location first, unless the function is designed and lawfully permitted for hands-free use. Follow all applicable laws and your organization's policies on device use. The Platform is not a substitute for attentive driving, safe work practices, required inspections, professional judgment, or regulatory compliance.
11. Telematics and connected systems
The Platform displays information received from vehicle telematics and other connected systems, which may include location, vehicle data, inspection reports, safety events, and related records. That information is collected by those systems under your organization's policies and the Workforce Telematics & Monitoring Notice you received. Displaying it in the Platform does not change how it is collected.
12. Administrator access
Your organization's administrators, and Flogal platform administrators, can view and manage accounts, roles, records, and activity within the Platform as needed to operate it, support users, maintain security, investigate issues, and meet legal and business obligations. Do not expect that activity within the Platform is private from your organization or from Flogal.
13. Third-party services
The Platform relies on third-party services for hosting, storage, telematics, authentication, mapping, messaging, and similar functions. Those services are governed by their providers' terms. We are not responsible for third-party services we do not control, but we choose and manage them with reasonable care.
14. Data and business records
Records entered into or generated by the Platform in the course of an organization's operations are that organization's business records, and Flogal holds them on that organization's behalf. Flogal may also retain operational, security, audit, and system records relating to the Platform itself. Where Flogal provides services to another organization under Section 2(c), that organization's information is handled as its written agreement with Flogal provides.
15. Privacy
Our Privacy Policy describes how personal information is handled. It is a notice, not a part of these Terms. Employees, contractors, and drivers also receive a Workforce Telematics & Monitoring Notice.
16. Account closure and deletion
You may request closure of your account as described on our Account Deletion page. Your account provides access to your organization's operational systems; closing it may prevent you from performing work that requires the Platform. Closing an account does not by itself change your employment or contractual relationship with your organization, and it does not delete business records that your organization or Flogal is required or reasonably needs to retain.
17. Suspension and termination
We or your organization may suspend or end your access at any time, with or without notice, including for security reasons, for violation of these Terms, at your organization's direction, or when your authorization ends. Sections that by their nature should survive, including 8, 9, 12, 14, 19, 21, and 22, survive termination.
18. Platform availability
We work to keep the Platform available and reliable, but it may be unavailable from time to time for maintenance, updates, outages, or reasons outside our control. Your organization should maintain reasonable alternative procedures for critical functions. We may add, change, or remove features.
19. Software license and intellectual property
Flogal grants you a limited, revocable, non-exclusive, non-transferable license to use the Platform, including the mobile application, solely as permitted by these Terms. The Platform, its software, design, and content are owned by Flogal or its licensors and are protected by law. Do not copy, modify, reverse engineer, or create derivative works from the Platform except as the law expressly permits.
20. No professional or regulatory advice
The Platform provides tools and information to support operations. It does not provide legal, tax, safety, medical, or regulatory advice, and it does not determine your compliance with any law. Compliance remains the responsibility of you and your organization.
21. Disclaimer and limitation of liability
21.1 The Platform is provided "as is" and "as available." To the fullest extent the law allows, Flogal Holdings LLC and its affiliates disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the Platform will be uninterrupted or error-free, or that information from third-party services, such as telematics providers, will be accurate or complete. The Platform is a work tool. It does not replace your own inspections, safety checks, hours-of-service rules, or your organization's instructions.
21.2 To the fullest extent the law allows, Flogal Holdings LLC and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the Platform.
21.3 Nothing in these Terms limits or excludes: (a) liability for fraud or for willful, intentional, or deliberate misconduct; (b) liability for gross negligence; (c) liability for bodily injury or death; (d) liability for violation of law, or any other liability that cannot be limited under applicable law; (e) your rights under any employment, wage and hour, anti-discrimination, anti-retaliation, workplace safety, or workers' compensation law, or any other right the law says cannot be waived; or (f) your rights under any separate signed agreement. These Terms do not change your employment relationship with your organization and do not waive any claim against your organization.
21.4 Some laws do not allow certain disclaimers or limits. Where that is the case, this section applies only to the extent the law allows.
22. Governing law and venue
22.1 Oklahoma law and applicable federal law govern these Terms, without regard to conflict-of-law rules. This does not take away any protection you have as an employee under the law of the state where you work.
22.2 Except as stated in 22.3, any lawsuit arising out of or relating to these Terms or the Platform must be brought only in the District Court of Cleveland County, Oklahoma, or, if federal jurisdiction exists, the United States District Court for the Western District of Oklahoma. You and Flogal consent to personal jurisdiction and venue in those courts. These Terms do not require arbitration.
22.3 Section 22.2 does not apply to: (a) any claim arising out of your employment, including wage, discrimination, retaliation, leave, safety, or workers' compensation claims; or (b) any claim that a law requires or allows to be brought in a particular court or agency. Those claims may be brought wherever the law provides. Nothing in these Terms limits your right to file a charge or complaint with, or talk to, any government agency.
22.4 Nothing in these Terms shortens the time the law gives you to bring a claim. If any part of these Terms is found unenforceable, that part will be limited to the minimum extent necessary, and the rest stays in effect.
23. Non-waivable rights
Nothing in these Terms waives or limits any right you have under applicable law that cannot be waived by agreement, including rights relating to wages, hours, safety, workers' compensation, whistleblower protection, or protected concerted activity. Nothing in these Terms prohibits you from reporting a possible violation of law to a government agency.
24. Changes
We may update these Terms. The version and effective date at the top show when they last changed. If a change materially affects your rights or obligations, we will ask you to review and agree to the updated Terms before continuing to use the Platform. Continued use after a non-material update constitutes acceptance.
25. Mobile application and app-store terms
If you obtained the mobile application through the Apple App Store or Google Play, the store's standard end-user license terms also apply to the software license, and the store operator is not a party to these Terms and has no obligation to provide support or maintenance. In the event of a conflict about the software license, the store's terms control for that subject only. Apple Inc. and Google LLC are third-party beneficiaries of this Section 25 to the extent their terms so require.
